PLEASE READ THESE TERMS OF USE AND THE LEGALSHIELD® PRIVACY POLICY BEFORE USING THE WEB SITES, LEGALSHIELD APPS, OR OUR LEGALSHIELD PRODUCTS AND SERVICES (collectively our "Services"). These Terms of Use (the "Agreement" or "Terms of Use") govern your access to and use of our websites, which includes legalshield.com, idshield.com, any other website published by LegalShield (each, a "Web Site"), and our mobile applications we make available for download from an official mobile application store (each, a "LegalShield App(s)"), such as the Apple App Store® or the Google Play® Store, and all services and sub-sites available on or through any of the Web Sites, as well as all text, audio, video, images, graphics, materials, online communications, and other information and content that are or become available on or through the Websites or LegalShield Apps. These Terms of Use do NOT apply to any services provided directly to you by our provider law firms. The Web Sites and LegalShield Apps are made available to you by or on behalf of Pre-Paid Legal Services, Inc. d/b/a LegalShield and its subsidiary companies ("LegalShield," "we," "our" or "us"). LegalShield subsidiaries include Pre-Paid Legal Casualty, Inc., Pre-Paid Legal Access, Inc., PPL Legal Care of Canada Corporation, LS, Inc., EAP, Inc., and Stillway, LLC (hereinafter "LegalShield").
By using our Services, you ("you" or "User") signify your acceptance of these Terms of Use and your acknowledgement that the information that you provide, directly or indirectly, through the Services will be managed in accordance with the LegalShield Privacy Policy, available at https://www.legalshield.com/privacy-policy.
IF YOU DO NOT ACCEPT THESE TERMS OF USE, YOU ARE NOT AUTHORIZED TO ACCESS OR USE THE SERVICES.
Solicitation or Offer. The Web Sites, LegalShield Apps, and the information provided are for general informational purposes about LegalShield, its products and Services, and its related companies. Any product or plan described on the Web Sites or LegalShield Apps may have exclusions, limitations, reductions in benefits and terms under which it may be continued in force or discontinued. For more information, please consult a sales associate and/or your membership contract. Some products and/or Services may not be available in all states or provinces. Your eligibility for any particular product or service is subject to final determination by LegalShield. The Web Sites and LegalShield Apps may offer general information about the law and legal plans. The Web Sites and LegalShield Apps cannot and do not contain legal advice. LegalShield is not a law firm. The legal information is provided for general informational and educational purposes only. Use of the Web Sites or LegalShield Apps does not create an attorney-client relationship. The Web Sites and LegalShield Apps should not be used as a substitute for the advice of an attorney. Prior to taking any actions based upon such information contained in the Web Sites and Legal Shield Apps you are strongly encouraged to consult with a LegalShield provider law firm, or other licensed attorney in the relevant jurisdiction. The use or reliance on any information contained in the Web Sites or LegalShield Apps is solely at your own risk and subject to the warranties, limits of liability, and indemnifications provided in these Terms of Use.
Communications. You agree that by providing your contact information to LegalShield, you consent to receiving communication from LegalShield, its affiliates, and its agents in connection with your membership. This may include communication about your account, features, and Services via email, push notification, phone, or text message (including by an automatic telephone dialing system and/or with an artificial or pre-recorded voice) at any of the phone numbers provided by you or on your behalf. Text messaging and data charges may be applied by your cell phone carrier.
You are not obligated to consent to receiving automated marketing phone calls or text messages about other LegalShield products as a condition of membership. If you believe that you are receiving automated marketing communications by text message or phone in error, then you may opt out by following any opt-out instructions provided with the communication or by contacting customer service. Likewise, if you wish to stop receiving marketing emails, you may opt out by clicking "unsubscribe" on the email. If you do not opt out, LegalShield may continue to contact you about new features and cost-saving opportunities as outlined in these Terms of Use and/or in the LegalShield Privacy Policy. If you change your contact information, please let LegalShield know so you can continue to receive communications.
Mobile Text Message Services Terms. The following terms in this section applies to any person who (1) signs up to receive one or more SMS/MMS messages and/or messages from us, or (2) sends us messages via SMS or MMS.
When you sign up for our text alert program, you are expressly consenting to receive recurring text messages on behalf of LegalShield. Text message communications from LegalShield may include, but are not limited to: (i) information about your membership or a subscription; (ii) information about our Services; (iii) communications concerning promotions; and (iv) news concerning legal and industry developments (the "Text Services"). Text message frequency may vary based on the message content. You agree that such texts may be generated by automatic telephone dialing systems.
You may opt out of the Text Services at any time by texting the word STOP in response to the message you received. If you do that, you will receive one additional message confirming that you will no longer receive messages from us regarding your service. You may also opt out of the Text Services through your account notification settings. Message and data rates may apply. We do not charge a fee for the Text Services; however, depending on your messaging plan, your mobile carrier may charge you for each message we send you or that you send us. It is your responsibility to know whether your carrier will charge you per-message costs (for instance, if you do not have an unlimited texting plan, or have exceeded your monthly quota of free messages). We assume no responsibility for charges incurred by your using the Text Services.
The Text Services may not be available in all areas at all times. SMS/MMS messages are distributed via a complex system of service providers and we cannot guarantee their availability or performance. This means we may not be able to successfully transmit SMS/MMS messages to you, and we have no liability for any such transmission delay or message failure. The Text Services may not work in the event of product, software, coverage, or other changes made by your wireless carrier or changes you make to your mobile device. Carriers are not liable for delayed or undelivered messages.
You must provide your own wireless device, subscribe to a wireless service on a participating mobile carrier, and be able to receive text messages using that wireless device and your carrier's service.

Privacy Policy. LegalShield adheres to all applicable laws regarding the privacy of information submitted by Users of the Services. This Privacy Policy, incorporated herein by reference, explains what information LegalShield may collect or gather from you on or through the Services and how we will use and protect your information. LegalShield may use data collected from the Services, including Web Site history data or cookies, in accordance with the Privacy Policy. Although the Web Sites and LegalShield Apps contain links to other web sites, LegalShield is not responsible for the privacy practices employed by other web sites. In addition, unless stated otherwise, LegalShield cannot guarantee the security of any data submitted through the internet, or by e-mail.
User Eligibility. The Services should only be accessed and used by individuals who are at least 18 years of age and who agree to be bound by these Terms of Use. The Web Sites and LegalShield Apps may be accessible worldwide; however, the Web Sites and LegalShield Apps are intended for use only in the USA and Canada. If you access/use the Web Sites or LegalShield Apps from outside the USA or Canada, you do so at your own risk and are responsible for complying with the laws and regulations of the territory from which you access/use the Web Sites or LegalShield Apps. Users outside of the USA or Canada are ineligible for our Services. LegalShield makes no representation that materials on the Web Sites or Legal Shield Apps are appropriate or available for use in locations outside of the USA or Canada and accessing them from territories where their contents are illegal is prohibited.
Changes to Terms of Use. LegalShield reserves the right, in its sole discretion, to revise, change, or modify these Terms of Use at any time. We will incorporate all material changes to these Terms of Use on this page. Notice of any change may be given in any manner we choose that complies with law, including, but not limited to posting a notice of such changes on the Web Sites and LegalShield Apps. We encourage you to review this page periodically for the most recent version of these Terms of Use. Any use by a User of the Services following notice of such changes shall be deemed to constitute acceptance by that User of those changes to the Terms of Use.

No material from the Web Sites or LegalShield Apps may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way.
Trademarks / Third Party Content. LegalShield may display and distribute content and Information supplied by third parties on the Web Sites and LegalShield Apps. LegalShield does not guarantee the accuracy, completeness or usefulness of, or endorse, any content or Information of any third party. Any opinions, advice, statement, services, offers or other content or Information expressed or made available by third parties, including, without limitation, information providers or any other user of the Web Sites and LegalShield Apps, are those of the respective author(s) or distributor, and not LegalShield. The information made available by Elle™ is meant to provide general information and is not intended to provide legal advice, render an opinion, or provide a recommendation as to a specific matter. Copyright Violations. If you believe any information on our Web Sites or LegalShield Apps infringes your copyrights or applicable law, please contact us with the following information:

- a description of where the material that you claim is infringing is located on the website;
- your email address or other contact information that is sufficient for us to contact you;
- a statement by you that you in good faith believe that the disputed use is not authorized by the copyright owner, its agent, or the law;
- a statement by you that the above information in your notice to LegalShield is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

Ownership and License. The Web Sites and LegalShield Apps and the information, computer code, and related functionality appearing, featured or otherwise displayed on the Web Sites and LegalShield Apps are owned by LegalShield, its affiliates, and their respective licensors or other third parties and protected under the copyright, trademark and other laws of the United States and other countries and international treaty provisions. We grant to you a limited, non-exclusive, non-transferable license to use the Web Sites and LegalShield Apps in strict accordance with these Terms of Use and the instructions provided by us on the Web Sites and LegalShield Apps.
The materials provided on the Web Sites and LegalShield Apps, including, without limitation, the information, computer code, and related functionality, are for your personal, private and non-commercial use only. Except as may be explicitly permitted through the Web Sites and LegalShield Apps, you may not copy, modify, upload, republish, distribute, display, post, license, create derivative works from, or transmit anything you obtain from the Web Sites, including anything you download from the Web Sites or LegalShield Apps, unless you first obtain our written consent. Any rights not expressly granted herein are reserved to LegalShield and its affiliates. Restrictions on Use. As a condition of your use of the Web Sites and LegalShield Apps, you warrant to LegalShield you will not use the Web Sites and LegalShield Apps for any purpose that is unlawful or prohibited by these terms, conditions and notices. You may not use the Web Sites and LegalShield Apps in any way that could damage, disable, overburden or impair the Web Sites or LegalShield Apps or interfere with any other party's use and enjoyment of the Web Sites or LegalShield Apps. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided through the Web Sites and LegalShield Apps. This includes without limitation the following activities: Provide false or misleading registration information, disclose your username or password to anyone else, or use an account, username, password, or personal information of another user; Harvest or collect information about any users of the Web Sites or LegalShield Apps; Transmit or facilitate the transmission of any "junk mail," "chain letters," or unsolicited mass mailing or "spamming" in connection with the Web Sites and LegalShield Apps; Use any robot, spider, site search/retrieval application or automatic device to retrieve, index "data mine" or in any way reproduce or circumvent the navigational structure or presentation of the Web Sites and LegalShield Apps or any content or information contained in the Web Sites and LegalShield Apps; Modify the Information, content, programs or other materials on the Web Sites and LegalShield Apps or hack into or access the LegalShield servers, Web Sites or LegalShield Apps in an unauthorized manner; Frame or mirror any part of the Web Sites or LegalShield Apps, without the express permission of LegalShield; Reverse engineer, decompile, disassemble, translate or otherwise alter any portion of the Web Sites or LegalShield Apps; Upload or input to the Web Sites or LegalShield Apps any information that contains viruses, Trojan horses, worms, time bombs, or other computer programming routines that are intended to damage, interfere with, intercept, or expropriate any portion or system of the Web Sites or LegalShield Apps.
You agree that your use of the Web Sites and LegalShield Apps may be suspended or terminated immediately upon receipt of any notice which alleges that you have used the Web Sites or LegalShield Apps in violation of these Terms of Use and/or for any purpose that violates any local, state, federal or law of the USA and/or Canada or other jurisdictions, including, but not limited to, the posting of User Content that may violate third party rights, may defame a third party, may be obscene or pornographic, may harass or assault others, or may violate any laws, rules or regulations, including, hacking or other criminal regulations. You understand that actions in violation of these Terms of Use may subject you to serious civil and criminal legal penalties, and LegalShield reserves the right to pursue penalties and other remedies to the fullest extent of the law to protect our rights.
License to LegalShield. LegalShield may, in the sole discretion of LegalShield, permit you from time to time to submit, upload, publish or otherwise make available to LegalShield through our Services textual, audio, and/or visual content and information, including commentary and feedback related to our Services, initiation of support requests, and submission of entries for competitions and promotions ("User Content"). Any User Content provided by you remains your property. However, by providing User Content to LegalShield, you grant LegalShield a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with our Services and business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.
You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents and releases necessary to grant LegalShield the license to the User Content as set forth above; and (ii) neither the User Content, nor your submission, uploading, publishing or otherwise making available of such User Content, nor the use by LegalShield of the User Content as permitted herein will infringe, misappropriate or violate a third party's intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
You agree to not provide User Content that is defamatory, libelous, hateful, violent, obscene, pornographic, unlawful, or otherwise offensive, as determined by LegalShield in its sole discretion, whether or not such material may be protected by law. LegalShield may, but shall not be obligated to, review, monitor, or remove User Content, in the sole discretion of LegalShield and at any time and for any reason, without notice to you.
Passwords and Security. Certain aspects of the Web Sites and LegalShield Apps may require registration. You agree that if you create or if you are issued a username and password in connection with access to or use of any of the Web Sites or LegalShield Apps, you are responsible for keeping such information secret and strictly confidential. You accept responsibility for all activities that occur under your username and/or password, including, without limitation, all communications, submissions or financial obligations. You are responsible for changing your password if you believe that your password or username has been lost, stolen or might otherwise by misused. You agree to notify us immediately of any unauthorized use of your username or password or if any other breach of security is suspected by you.
Subscriptions, Membership and Services. You may subscribe to certain free trial, premium, paid services or memberships available on the Web Sites or LegalShield Apps (collectively "Subscriptions") and such actions by you are voluntary. A Subscription will enable you to access certain features and Services when available. Your use of Subscriptions is subject to these Terms of Use.
Notice of Auto Renewal; Effect of Cancellation. To provide continuous service to paid users who purchase a Subscription, unless otherwise stated, we will automatically renew your Subscription. The renewal term is usually the same duration as the Subscription term purchased (for example, a monthly plan will renew each month).
By making a Subscription purchase on our Services, you acknowledge that your account will be subject to the above-described automatic renewals. At any time, if you do not wish your account to renew automatically, or if you wish to cancel your Subscription at any time, please visit here for more information: https://www.legalshield.com/legalshield-how-cancel-your-plan/. You must cancel your Subscription at least five (5) days prior to renewal to avoid future charges.
Please note that your Subscription may be interrupted as a result of a canceled or expired payment card or other payment method. It is your responsibility to keep your payment card or payment method details up to date to continue accessing our Services.
Payments. All payments related to your Subscription or other purchases must be made from a payment method on which you are the named account holder (the "Payment Method"). Unless otherwise stated, all fees due for the Subscription are payable in advance and will be billed automatically to the Payment Method. You agree that we will not be liable for any loss caused by any unauthorized use of your payment card or any other method of payment by a third party in connection with our Services. Any attempt to defraud LegalShield through the use of payment cards or other payment methods will result in immediate termination of your account and civil and/or criminal prosecution. In the case of suspected or fraudulent payment, including use of stolen credentials, by anyone, or any other fraudulent activity, LegalShield reserves the right to block your account. LegalShield is entitled to inform relevant authorities or entities (including credit reference agencies) of any payment fraud or other unlawful activity, and may employ collection services to recover payments.
Payments and Financial Transaction Processing. LegalShield may use third party electronic payment processors and/or financial institutions ("Payment Processors") to process financial transactions. You irrevocably authorize us, as necessary, to instruct such Payment Processors to handle such transactions and you irrevocably agree that we may give such instructions on your behalf in accordance with your requests as submitted on our Services. You agree to be bound by the terms and conditions of each applicable Payment Processor. In the event of conflict between these Terms of Use and the Payment Processor terms and conditions, these Terms of Use shall govern.
Fee Changes. We reserve the right to increase Subscription fees or to institute new fees at any time with reasonable advance notice. If you do not wish to pay the new prices, you can cancel your Subscription prior to the change becoming effective.
External Links. The Web Sites and LegalShield Apps may provide links to other web sites or resources which are not maintained or controlled by LegalShield (collectively "Linked Sites"). LegalShield is neither responsible for, nor aware of, the content of those Linked Sites. The inclusion of any hyperlinks to Linked Sites does not imply approval of or endorsement by LegalShield of those Linked Sites, or content, products and services offered on those Linked Sites. LegalShield expressly disclaims any responsibility for the content, copyright compliance, accuracy of the information and/or the quality of the goods or services provided by or advertised on any Linked Sites, and in no event shall LegalShield be held responsible or liable, directly or indirectly, for any loss or damage caused or alleged to have been caused in connection with the use of or reliance on any content, goods or services available on any Linked Sites. Any concerns regarding any Linked Sites should be directed to that respective web site, rather than to LegalShield or the Web Sites and LegalShield Apps. Social Network Features. Our Services may include features that operate in conjunction with certain third-party social networking websites that you visit, such as Facebook, Instagram, LinkedIn, and X ("Social Network Features"). While your use of Social Network Features is governed by these Terms of Use, your access to and use of third-party social networking sites is governed by the terms posted on those sites. You are responsible for ensuring that your use of those social networking sites complies with any applicable Terms of Use or other agreements.
Mobile Features. You are responsible for making all arrangements necessary to access our Services. For example, access to our Services, including any mobile app, may require the use of certain mobile devices or a wireless data service. You may incur charges from your wireless provider when you use the mobile app. We may update the app at our discretion. If you accept these updates, you agree to pay any and all costs associated with receiving them. LegalShield makes no representations that the Web Sites or LegalShield Apps will be compatible with your device or wireless data service.
Disclaimer of Warranties. LEGALSHIELD MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE WEB SITES OR LEGALSHIELD APPS, THE SUITABILITY OF THE INFORMATION CONTAINED ON OR RECEIVED THROUGH THE WEB SITES, OR ANY SERVICES OR PRODUCTS RECEIVED THROUGH THE WEB SITES OR LEGALSHIELD APPS. ALL INFORMATION AND USE OF THE WEB SITES AND LEGALSHIELD APPS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LEGALSHIELD HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES WITH REGARD TO THE WEB SITES AND LEGALSHIELD APPS, THE INFORMATION CONTAINED ON OR RECEIVED THROUGH USE OF THE WEB SITES AND LEGALSHIELD APPS AND ANY SERVICES OR PRODUCTS RECEIVED THROUGH THE WEB SITES OR LEGALSHIELD APPS, INCLUDING ALL EXPRESS, STATUTORY AND IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
LEGALSHIELD DOES NOT WARRANT THAT THE CONTENTS OR ANY INFORMATION RECEIVED THROUGH THE WEB SITES AND LEGALSHIELD APPS ARE ACCURATE, RELIABLE OR CORRECT; THAT THE WEB SITES OR LEGALSHIELD APPS WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE CONTENTS OR ANY INFORMATION RECEIVED THROUGH THE WEB SITES AND LEGALSHIELD APPS ARE FREE OF VIRUSES OR OTHER DESTRUCTIVE OR HARMFUL COMPONENTS. YOUR USE OF THE WEB SITES AND LEGALSHIELD APPS IS SOLELY AT YOUR OWN RISK. YOU EXPRESSLY AGREE THAT YOU HAVE RELIED ON NO WARRANTIES, REPRESENTATIONS OR STATEMENTS OTHER THAN IN THESE TERMS OF USE. SHOULD YOU PURCHASE A LEGALSHIELD PRODUCT FROM LEGALSHIELD OR A THIRD PARTY, THE TERMS AND CONDITIONS OF SALE APPLICABLE TO THAT TRANSACTION WILL GOVERN SUCH PURCHASE AND USE OF THE WEB SITES OR LEGALSHIELD APPS DOES NOT AFFECT THAT PURCHASE IN ANY MANNER. BECAUSE SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF CERTAIN WARRANTIES, THE EXCLUSIONS MAY NOT APPLY TO YOU BUT SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW OF YOUR JURISDICTION.
Limitation of Liability. UNDER NO CIRCUMSTANCES SHALL LEGALSHIELD BE LIABLE FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OR LOST PROFITS THAT RESULT FROM, OR ARISE OUT OF OR IN CONNECTION WITH THE USE OF, OR INABILITY TO USE THE WEB SITES OR LEGALSHIELD APPS, THE INFORMATION CONTAINED ON OR RECEIVED THROUGH USE OF THE WEB SITES OR LEGALSHIELD APPS, OR ANY SERVICES OR PRODUCTS RECEIVED THROUGH THE WEB SITES. THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER BASIS, EVEN IF LEGALSHIELD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, LEGALSHIELD LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY THE LAW OF YOUR JURISDICTION.
Indemnification. You agree to defend, indemnify and hold harmless LegalShield, its affiliates and subsidiaries, and all of their respective directors, officers, employees, representatives, sales associates, proprietors, partners, shareholders, principals, agents, predecessors, successors and assigns from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses (including attorney's fees and litigation expenses) relating to or arising from your use of the Web Sites or LegalShield Apps, any breach by you of these Terms of Use, your negligent or intentional acts, errors or omissions in regard to the subject matter of these Terms of Use, or your failure to comply with applicable laws in your use of the Web Sites or LegalShield Apps.
No Waiver. If you do not comply with the Terms of Use, and we do not take enforcement action right away, that does not constitute a waiver, and we are not giving up any rights that we may have (such as taking enforcement action in the future).
Submissions. We do not accept or consider creative suggestions, ideas or other materials other than those LegalShield has specifically requested. If, despite our request that you not send us any creative materials, you send us comments, suggestions, ideas, concepts, drawings, pictures or other materials (collectively, the "Submissions"), the Submissions shall be deemed, and shall remain, the property of LegalShield. None of the Submissions shall be subject to any obligation of confidentiality on the part of LegalShield or its affiliates, and neither LegalShield nor any of its affiliates shall be liable for any use or disclosure of any of the Submissions. Without limitation of the foregoing, LegalShield shall exclusively own all now known or hereafter existing rights to the Submissions of every kind and nature through the world and shall be entitled to unrestricted use of the Submissions for any purpose whatsoever, commercial or otherwise, in any form of media, now known or hereafter created or perfected, without compensation or attribution to the provider of the Submissions.
Changes to Web Sites and LegalShield Apps. LegalShield shall have the right at any time to change or discontinue any aspect or feature of the Web Sites or LegalShield Apps, including, but not limited to, content, hours of availability and equipment and/or software required for access or use of the Web Sites or LegalShield Apps or any portion of the Web Sites or LegalShield Apps.
Termination. We reserve the right to terminate a User's use of the Web Sites and LegalShield Apps at any time without notice. Without limiting the foregoing, we shall have the right to immediately terminate these Terms of Use with any User without notice or to terminate or suspend access by that User to the Web Sites and LegalShield Apps, or cancel any orders, if applicable, placed by that User if, in the sole discretion of LegalShield, the User breaches any term or provision of these Terms of Use, the Privacy Policy or fails to comply with any instructions posted on the Web Sites or LegalShield Apps. The provisions of the following Sections shall survive termination or expiration of this Agreement: External Links, Disclaimer of Warranties, Limitation of Liability, Indemnification, Choice of Law and Forum, Termination, and Software Licenses.
Monitoring. The Web Sites and LegalShield Apps generally do not pre-screen, monitor or edit the content posted by users of the Web Sites or LegalShield Apps. LegalShield and its agents and representatives have the right, at their sole discretion, but no obligation, to monitor the use and content of the Web Sites and LegalShield Apps and reserve the right to edit, refuse to post or remove any content or Information that, in the sole judgment of LegalShield, does not comply with these Terms of Use or is otherwise objectionable.
Software License(s). Any software that is made available to download from the Web Sites or LegalShield Apps ("Software") is owned or licensed by LegalShield and/or its affiliates or suppliers and is subject to United States and international copyright, trade secret, trademark and other laws protecting intellectual property. Use of the Software is governed by the terms of the end user license agreement, if any, which accompanies or is included with the Software, unless acceptance of a different license agreement is required prior to downloading the Software (the "License Agreement"). The Software is made available for downloading solely for use by end users according to the License Agreement. Any reproduction or redistribution of the Software not in accordance with the License Agreement is expressly prohibited and may result in civil and criminal penalties. Without limiting the foregoing, copying or reproduction of the Software to any other server or location for further reproduction is expressly prohibited. The Software is warranted, if at all, only in accordance with the terms of the License Agreement. EXCEPT AS WARRANTED IN THE APPLICABLE LICENSE AGREEMENT FOR THAT SOFTWARE, LEGALSHIELD HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NONINFRINGEMENT.
You acknowledge that any Software available or provided to you on the Web Sites or LegalShield Apps may contain technology that is subject to strict controls by various agencies of the United States Government pursuant to United States export control laws and regulations. You hereby agree that you will not transfer or export such software from the United States or re-export such Software outside the United States in violation of United States export laws and regulations. LegalShield does not authorize the downloading or exportation of any software or technical data from the Web Sites or LegalShield Apps to any jurisdiction prohibited by the United States export control laws and regulations.
Choice of Law and Forum. The Web Sites and LegalShield Apps are controlled by LegalShield from its offices within the State of Oklahoma in the USA. To the fullest extent permitted by applicable law, these Terms of Use and any actions or claims arising out of or in relation to these Terms of Use or the use of the Web Sites and LegalShield Apps will be governed by and construed in accordance with the statutes and laws of the State of Oklahoma, without regard to its conflicts of laws principles. Except where prohibited by law, any claim or dispute shall be subject to the sole and exclusive jurisdiction of the federal and state courts in Pontotoc County, Oklahoma, and you hereby consent to the personal jurisdiction of those courts and waive any and all jurisdictional and venue defenses otherwise available. Any legal proceedings shall be conducted in English.
INSURANCE ENTITIES. LegalShield products and Services are regulated in a number of states including the following: Pre-Paid Legal Casualty, Inc. (Alaska, Massachusetts, New Jersey, and Virginia).
Miscellaneous. If any provision of these Terms of Use is held to be unlawful, void or unenforceable for any reason, that provision will be deemed severable and shall not affect the validity or enforceability of any other provision. These Terms of Use constitute the entire agreement between you and LegalShield regarding your use of the Web Sites and LegalShield Apps.
